Partner Program Terms

These terms govern the PrismPoster creator and streamer partner program. They add to, and are part of, our Terms of Service — if anything conflicts, these terms control for the partner program.
1. Eligibility and application
You apply to the partner program from Settings → Partner program while it is open for applications. Applying is not joining: every application is reviewed by us, and acceptance is at our discretion. Nothing is created for you — no share link and no promo code — unless and until your application is approved. By applying, you agree to these terms and to our Terms of Service.
You warrant that you are at least 18 years old, that you are not resident or established in a jurisdiction subject to EU, UK, or US sanctions or trade embargoes, and that you are not named on any applicable sanctions or restricted-party list. You must give accurate payout details and keep them current. We may refuse an application, suspend participation, or withhold a payout if any of this proves untrue.
We run the partner program ourselves. Your application, referrals and commissions stay inside PrismPoster — no affiliate-program provider receives your details. Payment is sent through PayPal to the address you nominate, and PayPal sees only what is needed to make the transfer.
2. Referral tracking and promo codes
On approval you receive a personal share link, and you may request a self-named promo code. Every code is subject to our review and approval before it is created, and no code exists until we approve it. The code gives your referred customers 10% off their first payment on a monthly plan — it does not apply to annual plans or to later payments — and it attributes their signup to you even without a link click. Referral attribution through the link uses a first-party cookie that lasts 60days, is readable only by us, and is never shared with anyone else. Attribution is first-touch: a customer is credited to the first partner they are attributed to, permanently — a later click on another partner's link, or another partner's code, does not move them. One code is issued per partner; we may refuse any requested code at our discretion, and may revoke codes that conflict with another partner, mislead, infringe a trademark, are offensive, or are abused.
3. Commissions and payouts
You earn 20% of what each customer you refer actually pays for their subscription, on up to 12of their invoices — 12monthly payments, or one annual payment — after which that customer stops earning. One-time purchases, including credit packs, do not earn commission. The commission is calculated on the amount collected, so any discount reduces it, including the one your own code gives. Commissions accrue only on completed, non-refunded payments, and each one is held for 30 days after the payment before it becomes payable.
PrismLabs OÜtracks your commissions and pays you directly through PayPal. No third party sits between us: your balance in Settings is the same ledger we pay from. Payouts are requested by you, not pushed automatically — once your available balance reaches €50you request the payout from Settings → Partner program, and below that threshold the balance carries forward. Each payout is sent by hand, so we do not commit to a fixed payout date.
You are paid to the email address on your PayPal account. We do not ask for or store your bank details. You do not need a PayPal account when you give us the address — PayPal will invite you to claim the payment — but a payout left unclaimed for 30 days is returned to us, and the commissions it covered go back to your available balance so you can request it again. We cover the transfer fee, so you receive the full amount of the payout. You are responsible for any taxes on your commissions; you are an independent participant, not our employee, agent, or joint venturer.
4. Commission reversal (clawback)
A commission is reversed if the referred purchase is later refunded, charged back, or withdrawn — including under a consumer's statutory 14-day right of withdrawal — or if it resulted from prohibited promotion or fraud. Reversed commissions may be deducted from your balance or future payouts.
5. Self-billing and tax status
Because we calculate what you have earned, you agree that PrismLabs OÜ may issue self-billed commission statements on your behalf for the commissions covered by these terms, in accordance with Article 224 of the EU VAT Directive (2006/112/EC). We will issue a statement for each payout; you agree not to issue your own invoice for the same commissions.
You warrant that your VAT status is as declared in your application — including whether you are VAT-registered and, if so, your VAT number — and you will tell us promptly if it changes, if your VAT number is withdrawn, or if you move to another country. Partners resident in Estonia must participate through their own OÜ or as a registered FIE, and contract with us in that capacity.
6. Required disclosure
Whenever you promote PrismPoster or share your link or code, you must clearly and conspicuously disclose that you are a paid partner and earn a commission. This is required by advertising rules including the U.S. FTC Endorsement Guides, the UK ASA CAP Code, and EU consumer law. A spoken mention or a visible label such as “#ad — I earn a commission” alongside the content satisfies this.
7. Prohibited promotion
You may not:
- refer yourself or use your own code on your own subscription (self-referral);
- post codes to coupon, deal, or cashback sites;
- bid on “PrismPoster” or confusingly similar brand keywords in ads;
- send spam or use misleading, deceptive, or unlawful promotion;
- misrepresent PrismPoster, its pricing, or its capabilities, or imply an endorsement or partnership beyond this program.
8. Brand licence
While you are an approved partner we grant you a limited, revocable, non-exclusive, non-transferable, royalty-free licence to use the PrismPoster name, wordmark, and logo solely to promote the partner program and the products it covers. You must use them as supplied, without alteration, and you may not register or attempt to register them or anything confusingly similar as a trademark, domain name, or account handle. All goodwill in the marks belongs to us. The licence ends automatically when your participation ends, and you must stop using the marks and remove your link and code from your channels.
9. Suspension and termination
You may leave the program at any time. We may suspend or terminate your participation, withhold or reverse commissions, and disable your code if you breach these terms, engage in fraud or prohibited promotion, or if we discontinue the program. Unpaid commissions validly earned before termination remain payable unless they were fraudulent or reversed; where you can no longer request the payout yourself, we may initiate it to your payout details on file.
If you delete your PrismPoster account, your unpaid balance is settled once, at deletion: a net balance of €50or more — including commissions still inside their hold period — is paid out to the PayPal address on file, and a balance below €50 is forfeited. If no payout address is on file at deletion, the balance is likewise forfeited, because we retain nothing that would let us pay you later.
10. Relationship to other rewards
This cash partner program is separate from any credits-based referral rewards, which are promotional, carry no cash value, and are governed by our Terms of Service. Participating in one does not entitle you to the other for the same referral.
11. Changes
We may update these terms or the program (including the commission rate, how many of a customer’s invoices earn, the hold period, and the payout threshold) for valid reasons. For material changes we will give reasonable advance notice by email or in-product notice; continued participation after changes take effect means you accept them.
12. Governing law, jurisdiction, and language
These terms and any dispute arising from them are governed by the law of Estonia, without regard to its conflict-of-law rules, and the courts of Estoniahave exclusive jurisdiction — the first-instance venue being the court for the seat of PrismLabs OÜ at Sepapaja tn 6, 15551 Tallinn, Harju County. If you take part as a consumer rather than in a business capacity, this does not deprive you of the protection of mandatory provisions of the law of your country of residence, or of the right to bring proceedings there.
These terms are concluded in English, and the English version is the authoritative one. Any translation is provided for convenience only; if a translation and the English version conflict, the English version governs. Where mandatory law entitles you to receive contract terms in your own language, or to rely on a translation we provided, that right is unaffected.
